The Partnership

What is a Partnership (v.o.f.)?

A partnership according to Dutch law (v.o.f.) is a co-operation between Partners bound by a deed of partnership. The partners decide to run a business under one name and for joint account striving for common business objectives.

All partners are entrepreneurs, by nature but also according to Dutch tax laws. Criteria for this include:

  • Partners invest
  • Partners run risks (for instance debtors risk)
  • The partnership has multiple customers

Unlike the company limited by shares (B.V.) the partnership does not have the status of a legal entity. This effectively means that creditors of the v.o.f. can, in last resort, collect debts, which were made in the name of the v.o.f. from the individual partners (see also “Entering the partnership”).

A v.o.f. has a Chamber of Commerce registration, is registered for VAT and tax and operates in any respect as any other company legal form.

Why a Partnership (v.o.f.)?

The founders of QHUBA understood that the basis of the business is a people’s business, where two of the most important success criteria for customers are: Experience and Commitment.

For any company Entrepreneurship of its people is critical for business development, thousands of management guru’s worldwide have written libraries full about this topic.

We have decided to combine Experience, Commitment and Entrepreneurship in the form of a partnership:

  • Experience: we are able to attract and retain highly experienced people by making them partner in the firm;
  • Commitment: Qhuba people are fully committed to the customer’s success because they have a direct (commercial and financial) involvement;
  • Entrepreneurship: Business wise Qhuba will develop quickly because a team of entrepreneurs utilizing their personal strengths and possibilities for the company’s development is leading it. This is a major advantage over trying to persuade or motivate employees to become an entrepreneur. 

The partnership is flexible, there are low entry barriers and it’s very attractive and rewarding for its partners. 

Within the QHUBA v.o.f. two types of partners exist:

Management partner providing services to the partnership as a whole and enabling business development together with the partners. The management partner is Qhuba B.V., which is owned by the holding companies of Tjibbe van der Zeeuw, Maarten Kleyn and Wouter Hasekamp. The management (Board of Managing Directors) does not have to be limited to the founders.

Consultant partners providing the actual specialist or consultancy services to the customer and participating in business developments. Consultant partners can be individuals (natural persons) or legal entities (B.V., Ltd, S.A. etc.) as long as they are based in a EU country. A partner can employ people at their own risk and revenue. The employees will, like the partner, work through and under the name of QHUBA v.o.f.

Partnership admission criteria

In order to join Qhuba consulting services as a Partner the person should qualify to certain criteria. The final decision about any new membership will be taken by the management partner. The sometimes subjective criteria are cantered around keywords as Seniority, the possession of a Network and added value for the Partnership. In the remainder of this paragraph the criteria will be specified.

Seniority

  • The Qhuba partner is able to work fully independently on a key position within a project
  • The Qhuba partner plays an expert-role within his own specialisation
  • The Qhuba partner will be recognised by the customer as a senior discussion partner

Network

  • The Qhuba partner has a significant network of customers and potential customers within his area of expertise
  • The Qhuba partner has a significant network of peers and colleague-specialists or colleague consultants
  • The Qhuba partner has proven to have and successfully utilise those networks by opening new customer relations and/or to attract new Qhuba partners or employees

Added value for Qhuba

 The Qhuba partner adds value to the Qhuba team by:

  • Broadening the knowledge: e.g. by adding a new specialisation or service to the Qhuba portfolio
  • Own development: e.g. by developing himself in a for Qhuba new market or knowledge area, or by developing new products and services for Qhuba
  • Entrepreneurship: e.g. by actively participating in new initiatives or development of new customer relations; show willingness to take risks by for instance hiring own staff

 The Qhuba partner supports and strengthens the philosophy as described in our brochure:

Our consultants are motivated to accept responsibility, to show initiative and to demonstrate commitment. They will challenge the client to rethink current practice and to become more successful.

Qhuba helps clients to build high quality project teams with the right balance of the client staff and Qhuba consultants. The project team will have strong foundations in the organisation to guarantee results supported by the business and to assure effective knowledge transfer.

By committing to the objectives, by supplying the right and skilful consultants and by effective project monitoring, Qhuba will ensure a controllable project budget.
